Terms of Service
Who these terms are with
Coducky is made by Capital Studio, a company based in Australia. These terms (the "Terms") are an agreement between you and Capital Studio ("we", "us", "Coducky") for your use of the Coducky macOS app and the website at coducky.com (together, the "Service"). By installing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
The licence we grant you
Coducky is software you install and run on your own Mac. There is no account to create and no sign-in. While your trial is active or your purchase is valid, we grant you a personal, non-transferable, non-exclusive licence to install and use Coducky on Macs you own or control.
You may not:
- copy, resell, rent, sublicense, or redistribute the app, or share or resell your licence key;
- reverse-engineer, decompile, or work around the app's trial or licensing, except where the law gives you a right we cannot exclude;
- remove or alter any copyright, branding, or other notices.
Your trial and licence key
Coducky comes with a free trial. To stop the trial being reset by reinstalling, we record a one-way hashed identifier for your device and the time the trial started on a small registry we operate. That record holds no code, no file names, and nothing that identifies you personally. After the trial ends, a one-time purchase unlocks the app for good.
Your licence key is yours to keep. You are responsible for keeping it safe and for use of the app under your key. Keys are issued per person, not per team.
Your code and data stay local
Coducky runs entirely on your Mac. It reads the local git repositories you point it at and computes diffs on your machine. Your source code, your diffs, your review notes, your chat history, and your provider keys never pass through, and are never stored on, any server we operate. Provider keys are held in the macOS Keychain; reviews and notes are stored in a local database on your Mac. We cannot see your code, because it never reaches us.
Model providers and your own keys
To run an AI review, Coducky sends the diffs and prompts you choose directly from your Mac to the third-party model provider you select (for example Anthropic, OpenAI, Google, OpenRouter, Mistral, and others), authenticated with your own API key or subscription. We do not proxy, store, or mark up those requests, and we add no fee on top of what the provider charges.
Your use of each provider is governed by that provider's own terms and privacy policy. You are responsible for your provider costs, your rate limits, and complying with those terms, including any limits on the code you are allowed to send. We are not responsible for a provider's availability, pricing, output, or how it handles what you send it.
AI output
Coducky surfaces and grades comments from AI models to help you review your own changes. AI output can be wrong, incomplete, or made up. It is a second opinion for your convenience, not professional advice and not a guarantee that your code is correct or safe. You are responsible for the code you ship. Do not rely on AI output for anything important without checking it yourself.
Acceptable use
You agree not to:
- use Coducky to do anything illegal;
- use it to review or process code you do not have the right to review, copy, or send to a third-party model provider;
- probe, overload, or interfere with our trial registry, update, or licensing systems, or try to circumvent the trial or unlock the app without a valid licence;
- use Coducky to build a competing product, or scrape or resell any part of the Service.
We may disable a licence we reasonably believe is being abused, shared against these Terms, or used with a pirated key.
Payment, trial, and refunds
Coducky is a one-time purchase. The current price and trial length are shown in the app and on coducky.com. Taxes may apply depending on where you are.
Purchases are sold and processed by Lemon Squeezy, our merchant of record, under their terms; they handle billing and any tax. To request a refund, email us at hello@coducky.com (or contact Lemon Squeezy) within 14 days of your purchase, provided you have not made substantial use of the app beyond the trial. This is on top of any rights you have under consumer law (see "Your consumer rights" below).
Your purchase includes app updates for 12 months from the date you buy it. Major new versions released after that may be a paid upgrade. We will say so clearly before you pay for one.
Updates and changes to the app
Coducky checks for new versions and can update itself; you can turn automatic updates off in the app. The app is under active development, so we may add, change, or remove features over time. If we materially remove a feature you paid for, we will make it right, typically by keeping it until your update window ends, offering a refund, or providing a comparable alternative.
Intellectual property
The Coducky app, name, duck mark, website, designs, and underlying code are owned by Capital Studio or its licensors. The licence above lets you use the app as intended; it transfers nothing else to you. You keep all rights in your own code. We claim no ownership of it, and we never receive it.
Disclaimers
We provide the Service "as is" and "as available", without warranties of any kind except those we cannot exclude by law. We do not guarantee that the Service will be uninterrupted or error-free, or that AI output will be accurate or fit for any particular purpose. Keep using version control and your own backups for anything important.
Your consumer rights
If you are a consumer in Australia, our goods and services come with guarantees under the Australian Consumer Law that cannot be excluded. These Terms do not limit those rights. The same applies to equivalent non-excludable rights you may have under the law where you live, for example under EU or UK consumer law.
Limitation of liability
To the maximum extent allowed by law, and subject to "Your consumer rights" above, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, or goodwill. This includes amounts you are charged by model providers, which are between you and them.
Our total liability to you for all claims arising out of or related to the Service in any 12-month period is capped at the greater of (a) the amount you paid us in that period, or (b) AUD $100.
Suspension and termination
You can stop using Coducky and uninstall it at any time. Removing the app and its support files deletes your local Coducky data from your Mac. We may suspend or disable a licence if you materially break these Terms, if we need to protect the Service, or if we are required to by law. Where it is reasonable to do so, we will give you notice first.
Governing law
These Terms are governed by the laws of Australia. You and we agree to submit to the non-exclusive jurisdiction of the courts of Australia for any dispute, which means you can still bring a claim in your local courts if the law where you live gives you that right.
Changes to these Terms
We may update these Terms as Coducky evolves or as the law requires. When we make a material change, we will note it in the app or on the site and update the "last updated" date at the top of this page. Continuing to use the Service after a change means you accept the updated Terms.
